Lost Boy Could you imagine your own mother beating you, burning you, and treating the family dogs better then you? Quite unimaginable to me, but that is what David Pelzer had to go through. My book is the second of a three book series about the true story of David Pelzer. Ever since David was the age of 5 years old to maybe nine, his mother started to hurt him. She told him that he was a "bad boy" and deserved it all; it was some kind of game to her. At times she would curse at him, beat him vigorously, burn him, make him eat out of the trash, and starve him for days. The only time he really ate was at school during lunch because he would just steal food. When he got home from school he was givin a long load of chores. Sometimes he got the scraps from dinner, but often times on weekends he didn't eat the whole weekend because there was no school. At night, he would sleep on an old army cot with no blankets. Very rough and harsh living conditions for a little boy, but he thought he deserved it because she [his mother] always said he did, and he had no one to tell him that she was wrong. Every night he would hear his parents after he was in "bed." He heard them fighting about him. His father knew little of what was going on because he was often at work. He noticed the significant difference in the way his mother treated David versus his other two brothers. He often told her she was wrong and she would just talk about David as if he was some kind of animal, only referring to him as "It" or "the boy." When things came down to it, however, David's father would always defend his mother. One incident was at about seven to eight at night, and David's parents began to fight once again. Them both being alcoholics did not much help the situation. David heard his mom screaming about how she wanted David just to leave. David took this as a chance of a lifetime, but still kind of risky, walked right out the door. He expected to get about a block away and hear his mom coming after him in her car, but nothing happened. He ended up getting picked up by the police that night, and David's father just told the police a fake story and took him home. About two to three months later, some of the teachers and staff of David's school caught on to what was happening and reported it to The Services of Children and Family; they took him away to a foster home. He was not sure what to think; he diden't even know if wanted to be away from his mother. Soon after he received a social worker, Ms.Gold, who to David was an angel. He told her everything about what went on in "the House", so that when they went to court that they could file it against his mother, but David still felt horrible inside. About a week before the trial came, he got to have a visit with his mother. She told him that no matter what she would get him back. This scared him greatly and his story quickly changed. About four days before the trial, Ms. Gold came to visit him and to talk about the case and what he was going to have to do. David immediately started to claim that he started all the household problems, that he had fallen down the stairs, ran into doorknobs, beaten himself up, stabbed himself, and then he started saying how his mom was a beautiful, kind woman. Things like that could seriously put him back with his mother. When the court case came along, David realized that he did not want to go back to "The House." The court granted him as a legal ward to the court, but his mother would not let it stay like that. No way would she let him embarrass her like that. With intersecting storylines of gangsters and general low-lifes, Pulp Fiction grabs the attention of the viewer in the opening scene. Honey Bunny and Pumpkin, two petty thieves decide to rob an unsuspecting restaurant and get away with some quick cash. Once the two thieves start their rampage in the restaurant the opening credits begin to play. Then we are introduced to the two main characters, Jules and Vincent. This is where Tarantino really turns up the heat on the religious prospects of the movie. Jules and Vincent enter the boys apartment to receive a package for their boss Marcellus Wallace. When Jules starts in on one of the boys named Brett he recites the bible verse that he memorized in order to say some cold blooded shit to anybody he pointed a gun at (Pulp Fiction. Dir. Quentin Tarantino. Miramax. 1994.). This opens up the eyes of the viewer and really puts the fear of God in them. Child Labor in Lebanon Since many years, child labor has been a serious problem that a lot of organizations were trying to deal with. In fact Lebanon is one of the countries suffering from this issue, especially in poor surroundings of the main cities and in rural districts. According to Kofi Annan(1999), Child labor has serious consequences that stay with the individual and the society for far longer than the years of childhood. Young not only face dangerous work conditions. They face long term physical, intellectual and emotional stress. They face an adulthood of unemployment and illiteracy. Few human rights abuses are so widely condemned, yet so widely unnoticed For these purposes Im against child labor, and I think its the responsibility of the government to help working children. According to UNICEF response to child employment, Child labor is reported as one of the social problems in Lebanon. There are about 3163 children aged 10-13 years that work in Lebanon, while the number of those looking for work in this age group is 1947. These represent respectively 1.2% and 0.7% of the total population in that age group. On the other hand, there are 28786 working children aged 14-17 years and 9525 of that same age group looking for work, representing 10.9% and 3.6% respectively of children in that age group. The region of North Lebanon has the highest proportion of working children with respect to the two age groups 10-13 years and 14-17 years. It is followed by the region of Mount Lebanon, then Beirut, Beqaa and the South. Overall, the districts of Tripoli, Minyeh, Akkar, Baabda, Baalbeck, Zahleh, Saida and Tyre have about 80% of working children aged 10-13 years. In the North, working children are found mostly in the districts of Tripoli, Akkar and Minyeh (91-97% of working children in this region). In the region of Mount Lebanon, the districts of Baabda and Metn have the highest proportion of working children. More specifically, the poor urban neighborhoods of Bab Tebbaneh in Tripoli, Bourj Barajneh in Baabda and Bourj Hammoud in Metn are the worst affected areas in these districts.(UNICEF, 2008, p.1-2) Many children are working 6 days a week and more than 10 hours a day in hard fields especially like agriculture. According to ILO(International Labor Organization office in Beirut): Children are working hard for price of 7 dollars a week sometimes which is unfair. Employer s are interested in hiring teenagers and children under eighteen because they are cheaper especially when their profit are less than expected. Employer does not care about the feelings of the young youths they, keep mistreating them by giving them choirs they cannot handle. Walid a young child living in Tarik al jdideh (Beirut), is a ten year old boy working in a garage. Walid works from 8 am till 6 pm fixing cars and get paid 10 dollars per week. Walid is always complaining of the hard work he is supposed to handle, and from the maltreatment of his boss. Walid is one proof that working children are suffering in Lebanon. Most of these kids are boys, maltreated in several cities and villages in Lebanon whereas they are forced to carry heavy loads, handle chemicals, marble cutting, selling items on roads under bad circumstances and in farms where they are exposed to pesticides. Children laboring in gardening may also be constrained to assemble tobacco, sugar cane, and other crops where they will be subjected to equally harmful conditions. Moreover, kids are obliged to use dangerous machinery, handle toxic chemicals without protective gear; they are also confronting sexual abuse or slavery, especially girls that are sold from their parents to earn extra money. Most of these kids are working in very bad conditions affecting their health, living differently from a normal kid and risking their future. Racha is a good example of a teenager who was forced to depart from her house in the village to work as a housemaid in the industrialized Aley district. Rasha had been raped by the man in the house after several temptations made by him. Sexual abuse of working boys and girls is a crime that will proba bly destroy the life of the young youths. (Alami, 2007, p.1-2) Many children are dropping out from school and leaving their education in order to work and give money for their parents. The learning level of laboring kids is too small comparing to the learning level of the labor force in all areas in Lebanon. The percentage of uneducated worker in the labor force in Lebanon is about 49%, this percentage is 95% concerning children working aged between 10 and 13 years and 84% of those age between 14 and 17 years. (UNICEF, 2008). Yusuf a 12 years old guy who works now in agriculture, is a good example of many kids who left school early and started working. It is the right of the children to get education and go to school instead of that they are facing problems that pushes them to leave school and start working. Many young kids lose their ambitions in order to work and help their fathers. It is unfair for children to drop out from school as their future will be ruined, they will have to work the same work they are working today not having a bachelor degree they wont be able to go further in their lives. It is also unfair for them to miss all the joy of the school days. School days are the best days of a child life as he meets friends in school, develop relations, and learn how to interact with others. School is a basic time needed by the children before getting to the large world of work. (Alami, 2007, p. 2-3) Somehow child labor has a big influence on the society. When the number of working children increases the number of non educated adults will increase, children will be the future of the societies. A society of non educated society is a rural society where people have no respect for each other. You can see that these kinds of societies are the societies where more problems happen, where no one understand the other, and where the neighbor kill his neighbor. As we said before the number of working children is bigger in rural countries of Lebanon like Tripoli, and Bekaa, effectively these are two countries that are full of problems as we see on the news every day. Problems always happen in Tripoli between the people living there; in the Bekaa also car steeling and crimes are very often. Education pushes the society to a higher level, and since education is absent between young working kids their society will be on a lower level than others. Poor societies are societies where most kids st art working early. Such societies will always be poor as no one will get educated enough to get a suitable job. So a main problem of the poor societies in Lebanon is child labor. (Schmitz Traver Larson, 2004) The opposing point of view is the one of the parents of the children and the employers who hires children. Parents when in need oblige their kids to go and get a job in order to make money. Some parents think that their oldest son should leave everything and go to work to help his brothers and sisters. This is common in most Lebanese areas as we see in most families the older son suffers from lack of education. These parents also think that their children are born to serve them and to help them get money to live more comfortably. Some parents that they were also working in very early ages of their life would let their children work in purpose that they will be stronger and more experienced and might be able to easily go over hard situations they may face in the future. Other parents might sell their daughters by saying that they will get married sooner or later so why dont they sell them and earn high revenue of money. Employers also say that they are hiring children who came freely to get work and they are not doing something wrong so they can profit of the low salary these children get which make the cost of the products less and they will be in fewer prices in the market so all the people will also profit. We can see that most restaurants in Lebanon hire young boys for the delivery choirs for example and for serving clients etcà ¢Ã¢â€š ¬Ã‚ ¦ Personally I think its very wrong for the parents to let their kids work at young age especially if they work under the supervision of abusing bosses. Kids are suffering in their work as they work in dangerous chemicals and pesticides. Kids have the rights to learn and live their childhood happily and safely. Some employers are criminals because they abuse children; such employers should be caught and arrested because of their actions against children who are so weak to say no or to protest against their parents and bosses. Finally Child labor is a wide problem that should be regulated especially in Lebanon. Children are suffering in their work, dropping out from school early, and infecting the whole society. I think government should work on reducing the number of working children, and to control the hours of work and the salaries. By fixing these issues working children will have better work situation, better opportunities by going to school, having normal life like every teenager should get. It is their right to learn so they can become successful persons in their societies.

Greek Theater Essay -- essays research papers

Ancient Greek Theater is the first historical record of â€Å"drama,† which is the Greek term meaning â€Å"to do† or â€Å"to act.† Beginning in the 5th century BC, Greek Theater developed into an art that is still used today. During the golden age of the Athenians plays were created, plays that are considered among the greatest works of world drama. Today there are thousands of well-known plays and films based on the re-make of ancient drama.   Ã‚  Ã‚  Ã‚  Ã‚  Theater originated from the religious rites of ancient Greek tribes. Located in northern Greece, a cult was formed to worship the God of wine and fertility, Dionysus. The cult held religious celebrations which included large consumptions of alcohol, animal sacrifices, and sometimes massive orgies. Theater was thought as a ritual to release powerful emotions and create pure ecstasy. The cult spread south into Greece and by 500 BC annual festivals in honor of Dionysus were held every spring.   Ã‚  Ã‚  Ã‚  Ã‚  A main part of Dionysus’ rites was the dithyramb. It means a â€Å"choric hymn† and it was completely religious describing Dionysus’ adventures. The performance would have a group of dancers, a chorus in costumes, an orchestra of drums, lyres, and flutes, and a leader/director. It all took place around an altar for Dionysus. Soon after the dithyramb became popular at Athenian festivals where poets would compete to create their own unique dithyramb. Soon the dithyramb ceased to be about Dionysus and his adventures. Famous poets chose subjects from several different periods of Greek mythology. Over time, the dithyrambs formed into stories to be performed thus creating drama.   Ã‚  Ã‚  Ã‚  Ã‚  During the golden age of Greece, city-states were developed, the most prominent being Athens with a population of at least 150,000. Here is where the rites of Dionysus created what we now call theater. We have the leader, the chorus, the dancers, and the orchestra. So where did actors come from? Around 525 BC a man from Attica named Thespis, added an actor into the dithyramb to interact with the chorus. The actor was called the protagonist and means â€Å"the main character of a drama.† This addition turned the chorus into theater. Thespis went down in history and is where â€Å"thespians† got there name.   Ã‚  Ã‚  Ã‚  Ã‚  About 534 BC was when the Dionysian Festivals were changed to add dram... ...d of heroic epics involving Gods and legends. He died in 406 BC all alone, extremely cynical of human nature.   Ã‚  Ã‚  Ã‚  Ã‚  Athenians not only produced tragedies in their culture, but created many lasting comedies. These comedies helped set the way for Romans and Elizabethans coming in later periods. Developed similar to tragedy, comedy was aimed at the common people and had less to do with religious beliefs. Satire was often used in comedies, especially ones written by Aristophanes and Menander. Characters in these plays ranged from celebrities to drunken audience members. Menander’s plays were the main basis of comedy that moved onto the Romans and Shakespeare and the Broadway.   Ã‚  Ã‚  Ã‚  Ã‚  Over the 200 years from Thespis’ first accomplishments to the death of Sophocles, Greek Theater thrived. However, all good things eventually come to an end. The golden age was ending as Athenian culture was overrun in 404 BC by the Spartans. Theater of course evolved over time and is now a school subject, hobby and profession. Today it wouldn’t hurt to look back over some historically recorded plays and appreciate what the ancient Greeks created for us†¦ drama.

Criminal Recidivism Essay

Prisons today are overcrowded and are a growing problem in today’s society. â€Å"In 2008, the Pew Center on the States reported that incarceration levels had risen to a point where one in 100 American adults was behind bars. A second Pew study, the following year, added another disturbing dimension to the picture, revealing that one in 31 adults in the United States was either incarcerated or on probation or parole† (Pew Center on the States, 2011). It is very costly for the states to maintain the prisoners behind bars. It has been estimated that the cost of state spending on corrections is 52 billion dollars. Recidivism is a term used by law enforcement agencies that describes the tendency to relapse into criminal behavior. It involves a person being re-incarcerated or re-offending. â€Å"Inmates returning to state prisons within three years of release has remained steady for more than a decade; this is a strong indicator that prison systems are failing to deter criminals from re-offending. Using data from 41 states for prisoners released, â€Å"a study done by the Pew Center on the States found that slightly more than 4 in 10 offenders return to prison within three years† (Johnson, 2011). What has caused this rise in recidivism can be due to more studies being done, tracking recidivism more closely, and failure of prison systems/probation programs to rehabilitate inmates. â€Å"Prisons serve multiple purposes, including exacting retribution for breaking the law, separating offenders from society so they cannot commit more crimes, deterring the general population from committing crimes and discouraging incarcerated offenders from committing new crimes once they are released† (Pew Center on the States, 2011). One priority of prisons is to deter criminal activity through incarceration and rehabilitation of its criminals. One way to track rehabilitation of the criminals is by tracking the recidivism rates. This study includes data of prisoners released in 1999 and prisoners released in 2004. Thirty-one states offered data for 1999 and 41 states offered data for 2004. â€Å"The Pew/ASCA survey found the three-year return-to-prison rate for inmates released in 1999 to be 45. 4 percent, and 43. percent for those released in 2004† (2011). This study began its study by sending out surveys to all 50 states. â€Å"A self-selected survey or voluntary response survey is one in which people decide for themselves whether to be included in the survey† (Bennett, Briggs, & Triola, 2009, p. 37). Each prison facility decided whether they would be included in the study and they submitted information to the Pew Center of the States. Qualitative data was used to put values on the measurements. The process of binning was used to categorize the prisoners into three groups, which consisted of first release, all releases, return for new convictions, and return for violation of probation. â€Å"The relative frequency of any category is the proportion or percentage of the data values that fall in that category† (Bennett, et. al. , 2009, p. 94). They set up relative frequency tables to determine how many times the prisoners fell under the categories or bins. They used mean, median, and mode to get averages of prisoners released and re-offending. There were some outliers in the studies. Outliers are defined as â€Å"a value that is much higher or much lower than almost all other values† (Bennett, et. al. , 2009, p. 149). â€Å"State departments of correction reported on people who returned to one of their facilities, which would not count a former offender who was incarcerated in another state or depending on proximity to high-crime areas in neighboring states or major interstate drug corridors† (Johnson, 2011). The Pew Center of the States analyzed the data and concluded that by 2002, more than 45% in the first wave of releases returned to prison and in 2007, about 43% of the second group returned† (Johnson, 2011). They came up with these percentiles by looking at the total number of inmates released from each prison for each state and how many were re-incarcerated for new crimes or violation of probation. â€Å"One can approximate the percentile of any data value with the following formula: percentile of data value =number of values less than this data value/total number of values in data set† (Bennet, t. al. , 2009, p. 170). â€Å"At least 95 percent of inmates in America ultimately will be released and returned to the community. Keeping them crime and drug-free is no easy assignment. Many offenders lacked education, work experience, family support and a stable living situation before they were incarcerated, and many suffer from mental illness or a history of addiction† (The Pews Center of the states, 2011). Many also have the stigma that comes with having a criminal record and are unable to find work, so they resort back to robbery or stealing. Many times the released prisoners go back to hanging out with their old friends and then it is not long before they fall back into their old habits. In addition, the probation/parole divisions that are supposed to supervise the former inmates are overworked, have large caseloads, and limited technology to keep up with the former inmates.

When one of the prisoners were released, they perceived the real world in actuality, and the shadows they perceived to be real were not. Like in The Matrix, they believed only what they perceived. In Descanters Meditation I of the Things of Which May Doubt, he says he will doubt everything he believes unless he Is absolutely certain of the truth of the belief. He believes that our knees can deceive us on many levels. Descanters also says when we dream we can never be sure what Is real and what Is a dream. The salutary of Descanters with The Matrix and Allegory of the Cave Is the evil demon theory. He believes that he Is being deceived by an evil demon of all senses and knowledge (Foreman Dew, 2012). That the evil demon is allowing us to perceive what he wants us to perceive. How do we know the world we are experiencing is real? In The Matrix; however, In his betrayal of Morpheme, Cipher implies that it is better to live in the artificial world of the Matrix. Cipher believed that ignorance is bliss. For me, I would like to know what reality really is. Ignorance is bliss can be a nice thing, but something always happens to make you doubt what is really going on. When that happened you truly believe that you have been deceived and everything you thought to be true is not. Most of our knowledge is based on sense experience, and they are not always accurate. How can we be truly certain of our beliefs? Personally, I know about the senses not being accurate. I am legally blind, and hard of hearing. Much of my world is not truly how It Is perceived. I was in fourth platoon, which was one of the greatest platoons you wanted to be in. I started meeting a lot of great people and did a lot of team building. We ran miles and miles; ruck marched through woods and sand, which was hard when you carried 30lbs on your back- holding a weapon. We learned about many different weapons and how to shoot them.

The study viewed that the capacity of the latter are hugely characterized of strict programs that are designed in order to prevent errors in their writing methods. As such, ESL students are only permitted to write what they have practiced orally. Methods such as language drill work, copying, filling in blanks and taking dictation often limit the capacity of ESL student to learn. Studies shown by Rigg (1981) and Urza (1987) as cited from Perotta (1994) have shown that a good number of students are capable of writing things that they are not able to control orally. Company Law problem question: Running a business Company Law problem question Question 1(a) Tom, Dick and Harry are in business together in the form of a legal partnership. The business having developed somewhat, they are now keen to incorporate their business into a limited company. This will undoubtedly have benefits for the traders, although there are of course certain ramifications of which they should be aware which will be dealt with after a discussion of the benefits of incorporating. The correct choice of business medium is a crucial decision for any business. It will affect how the business trades, the liability of those running the business (in their guise of partners or directors) and the liabilities of the business itself for taxation, for example, in the case of a company. Perhaps the most significant concern for Tom, Dick and Harry, is the risk of capital that is associated with any business. The overwhelming benefit in this context of forming a limited company over remaining as a partnership is that a company will carry only limited liability. This means that the owners of the company (that is, Tom, Dick and Harry, assuming they remain as directors and become shareholders) will only be liable for the amount of unpaid shares in the company if the company were to become insolvent or even bankrupt. In other words, they can choose the amount which they are willing to pay into the company (which does not have to be paid up front), and this is the total amount f or which they would be liable should the company ever be wound up. This can be contrasted with the situation under a partnership where the partners would be both jointly and severally liable for the entire value of their trading losses. This means a partner could lose any property that he owns. The beneficial effects of this arrangement would be limited, however, in a number of situations. If Tom Dick and Harry were to risk everything in the business, that is, if they invest all there assets in the business, then they would still lose it all if the company were to become insolvent. Secondly, it is often the case that when a company comes to borrow money for business development, and particularly where the company is relatively new and unknown to the banks, that the lenders will demand personal guarantees for the value of the loan on top of the normal contractual and security relations with the company. These would, obviously, override the limited liability associated with the company. As business is good for Tom, Dick and Harry at the moment, however, this would not appear to be an immediate problem. A further issue to be considered when deciding whether to incorporate as a company is the expense involved. While these are not extortionate, they are, at least, significant, and should be duly considered by Tom, Dick and Harry. Unlike a partnership, a company needs to be registered, which incurs fees itself. There will be legal fees payable to the solicitor who draws up the new company’s memorandum and articles of association (together, the constitutional documents of the company), which are essential, and outline the aims, methods, and rules of the company’s business life. A similar issue of expense and complexity that will be incurred by a company as opposed to a partnership relates to the accounts of the company. While all businesses, including partnerships, obviously wish to keep accounts, the requirements for accounting for companies are more particular and complicated. The accounts need to be more detailed, and show certain information in a particular way. Furthermore, because companies are subject to more rigorous regulation, the accounts of a company will need to be audited annually by an independent qualified accountant. This, of course, will incur higher accountancy costs that would be expected for a partnership. The company will also be required to complete an annual return and pay a fee on filing it with the Registrar. A company is subject to certain rules and regulations relating to its operation and management, which are statutorily set out in the Companies Act 1985 (subject to be overhauled when the current Company Reform Bill makes it through Parliament). An example of this is the requirement that a company must have at least one director and one secretary. It is usual for the first owners (Tom, Dick and Harry) to become the first directors and / or secretary. These officials will have certain obligations relating to duties owed to the company, and in respect of items that need to be completed and filed with the Registrar of companies at Companies House. An important consideration to take into account is the flexibility of a company to change its internal structure if and when circumstances require it. Such a change would normally involve and require an alteration to the company’s articles of association. This would require, under the Companies Act, a so-called ‘special resolution’, which equates to 75% of the shareholders. In the case of Tom, Dick and Harry, if they were to remain the only shareholders, any such decision would, of course, have to be unanimous. If any conflict is predicted, this will have to be a consideration for the parties. It is worth noting that this requirement is no more stringent than that required for altering a partnership agreement, which requires the approval of all partners. If a conflict were to arise between the directors of the company, the other shareholders would be able to remove the troublesome director by way of an ordinary resolution. Finally, the legal status of a company differs significantly from that of a partnership. A company is seen as a separate legal person, which means it can contract and be held liable in its own name. This has ramifications for the liability of the directors, and is generally seen as a benefit of a company. Only a company (and not a partnership) can create floating charges over their assets. This is significant when it comes to raising finance by way of granting security. It will probably be easier for a company to raise the requisite finance than for a partnership to do so. It is also significant (or may be) that an unlimited number of people can become members of a company, whereas a partnership is limited to twenty partners. If and when the company grows and develops, it will be in its interests to be unlimited in the number of new members it can obtain. Question 1(b) In this scenario, there are a number of developments which will impact on the running and management of the business. Each development will be taken in turn. Firstly, the sale of the company’s property to Dick’s sister, Fanny in 2006 will be problematic. There are three principal areas of concern. Firstly, the company’s articles of association expressly prohibit the sale of company property without a special resolution of the members. As was mentioned above, a special resolution requires a 75% majority, or in this case, as there are only three members, a unanimous vote. There is a course of action that the directors can take, however, after the event, that could ratify the sale of the company property. They will simply need to call an extraordinary general meeting, following the correct procedure of course, and pass a special resolution either to ratify the sale of the company property to Fanny, or else to alter the articles of association to allow for such sales in a more general context. The value and size of the property that is sold to Fanny will be significant in the second area of concern for the company. Under section 320 of the CA, ‘a company shall not enter into an arrangement whereby a director of the company or its holding company, or a person connected with such a director, acquires or is to acquire one or more non-cash assets of the requisite value from the company†¦unless the arrangement is first approved by a resolution of the company in general meeting.’ The reason the value of the property that is transferred to Fanny is significant is because of the existence of the concept of ‘requisite value’, which is set down in section 320(2). This states that the requisite value for a non-cash asset is  £100,000 or 10% of the company’s asset value. If the property is of this value or greater, then, it will be of the requisite value, and will contravene section 320. The fact that Fanny (the purchaser) is the sister of a dir ector classes her as a ‘connected person’. As such, she breaches the section 320 prohibition. Finally, the gross undervaluing of the property in the company’s sale of it to Fanny will be a problem, as it is likely that this will breach section 339 CA in the case of the company becoming insolvent. Were this to happen, the insolvency practitioner would likely deem the transaction to be voidable, and the asset would be brought back into the pool of the company’s assets in order to satisfy the creditors. This would occur if the transaction occurred within 5 years of the presentation of the petition for winding up (because Fanny, again, is an ‘associate’ of the transferor). Under section 238 defines a transaction at an undervalue as one where a company makes a gift to any person and receives either no consideration for it or consideration worth significantly less than the consideration provided by the company. This transaction clearly qualifies as such. It will be deemed to be set aside if insolvency proceedings commence within two years of the transacti on. Each of the directors’ decisions will now be addressed. They decide, firstly, to enter a contract with Oui Ltd. This is not, of course, a problem in itself, apart from the fact that Tom is a director of Oui Ltd. Firstly, if entry into the contract was ratified by an ordinary resolution in the company, Tom would not have been able to vote on it under section 94, because he has an interest in it. If Dry Ltd have adopted Table A articles of association, this would be confirmed by article 94. The company should have kept a register of its directors, which lists the interests and other directorships of all its directors (under section 288 CA), which would have detailed Tom’s directorship of Oui Ltd. Furthermore, section 317 CA requires Tom to have declared his interest in the proposed contract with Oui Ltd at a board meeting of Dry Ltd. He should have given general notice of his directorship. The company issues a further 10,000 unpaid shares to a third party to fight off a takeover bid. This should not create a problem so long as the company’s articles of association give the directors power to issue shares. This in turn is dependent on the company having a sufficient amount of unissued authorised share capital. If it does not, a special resolution will need to be passed to increase this authorised share capital, before passing a further resolution allowing the issue. The powers of the directors in this instance are regulated by section 80 CA. Furthermore, the company must, under section 89, give consideration to rights of pre-emption to existing shareholders. As the directors are the only three shareholders, this should not be a problem, but it would mean they had to wait 21 days before issuing the new shares. The resignation of David and his formation of Whip Ltd, which obtains the contract from Pop Ltd might breach his director’s service contract with Dry Ltd. It is usual for such contracts to contain a clause prohibiting former directors using their business contacts within a certain time of leaving the former directorship; a non-solicitation clause. This would protect Dry Ltd’s business links. Given Harry’s age and his mental deterioration, the company will be able, if it has the heart, to remove him from office following the procedure for removal of directors set down in section 303 CA, which requires an ordinary resolution to be passed. Harry may be able to claim damages for his removal from office under this procedure.

The internal rebellion shows that Duncan lacked the ability (and/or means) to do so - maybe he was naive and did not believe that his thanes could actually turn against him. Duncan  s lack of power and control over his country is also proved by his military dependence. It is uncertain whether Duncan himself has been fighting in the war - it is possible that he has not; as in Act one he only receives news from the battlefield. It might, of course, be argued that Shakespeare did not want to include a huge battle scene in his play but, nevertheless, it looks like Duncan has not been fighting himself. This was not the custom in the Middle Ages - the ruler  s conduct in battle was to serve as an example to all the warriors. Shakespeare does not state how old Duncan is but, judging from the fact that he has two grown sons, he is not in his youth. In quite a few stage productions of Macbeth this has been taken into account. In Trevor Nunn  s 1976 film of his stage production of Macbeth Duncan is portrayed as an old, feeble and sick man. This may explain why he does not take part in the battle. He is old and ill and depends on the loyalty of his warlords. The Sun, the Moon, and the Great Spirit Long ago, before there was life, before there was even a planet Earth, there were celestial entities that existed in the universe back when it was a light blue. These spirits appear to humans as large masses in space, such as the other planets and the stars. Since the beginning, there were two powerful apparitions that would become rivals until the end of time, the Sun Spirit and the Moon Spirit. The Sun was favored by the other astral entities to the isolated Moon.Not long after all of the spirits of the universe were created by the Great Spirit, their creator who cannot be seen by any life form, the Sun had become the leader of all other celestial bodies and was placed in the center of the Solar System. This angered the Moon, who despised the Sun. The Moon Spirit challenged the Sun for the position as ruler of the planets. Unfortunately for the Moon, the Sun used his superior strength to outcast the Moon to a lonely location between Venus and Mars. After 4,000 years of peace among the bodies of the Solar System, the Sun was growing old and developed a feeling that something was missing.The Sun Spirit decided that it was time for him to create a new successor since he has aged and become weak over time. The Sun found stray meteors flying across space and summoned all of his remaining power to bring them to him. The aging Sun then smashed the colossal space rocks together to create one large mass. Afterwards, he engulfed the inanimate boulder with his life-giving fire to give it consciousness. â€Å"Who are you? Who am I? † said the curious new planet. â€Å"I am the Sun, your creator and protector.You are my daughter who will one day grow up to take my place as ruler of everything in existence,† said the Sun to his newborn child. â€Å"Well, do I have a name? † the naive child asked. â€Å"I shall name you ‘Earth’,† said the Sun. For many days, the cosmos celebrated the birth of t heir beloved king’s child. Eventually, the news spread so far that it got to the Moon Spirit. The Lunar Spirit then schemed the perfect plan to get revenge on the Sun. The Moon waited until all of the other entities fell asleep to sneak out of his seal. He eventually found the sleeping solar king and his princess.The Moon then kidnapped her and brought her to where the Sun had banished him. Child Earth woke up with a loud scream, constantly calling for her father. To silence her, the Moon engulfed her in such a great amount of water that she would never be able to speak again. When the Sun woke up, he looked around for his daughter; she was nowhere to be found. The King began to panic and told every spirit in the universe to look out for the young princess. Not long after, Venus confronted the Sun and said, â€Å"I know where your daughter is. She has been taken away by the twisted Moon and can no longer speak. This news made the Sun so furious, his fire grew to be so large that it gave off the largest glow anyone had ever seen. The powerful light from the glow began to illuminate all parts of the Solar System including the Moon and Earth. The Sun was now able to see his captive daughter, but had no strength left to pull her back to him. From that day on, all of the celestial entities mourned for the loss of their future queen. To show their consolation for the Sun, they all decided to use their combined power to turn space from a sky blue color to black for the second half of every day.To make matters worse, the Moon confronted the Sun to make a proposition. â€Å"If you stand down from your position as king, I will let you have your daughter. In addition, the Great Spirit went to the Earth and planted a massive green tree on her that would grow from both the soil from the sun and the water from the moon. This Tree of Life would give birth to all life on Earth that we see today, from insects, to sea creatures, to humans.
